В статті аналізується правова конструкція спільного управління об’єднаними активами державних та
приватних підприємств в рамках договору про спільну діяльність. Акцентується увага на організаційних та
майнових аспектах відносин учасників спільної діяльності. Зроблено висновок про необхідність подальшого вдосконалення нормативного забезпечення відносин у сфері здійснення спільної діяльності.
В статье анализируется правовая конструкция совместного управления объединенными активами
государственных и частных предприятий в рамках договора о совместной деятельности. Акцентируется
внимание на организационных и имущественных аспектах отношений участников совместной деятельности. Сделан вывод о необходимости дальнейшего усовершенствования нормативного обеспечения
отношений в сфере осуществления совместной деятельности.
The article is dedicated to complex research of legal regulation of the joint activities contract as a form of public-
private partnership in Ukraine. A notion of a joint activities contract and its place within the general classification of
civil contracts has been defined.
It is emphasized, that partner relationships within joint ventures are based on the special law mechanism, which
helps to achieve the balance between public and private interests.
Pursuant to Article 1130 of Civil Code of Ukraine, contract of joint activities provides for joint acting of parties
without establishing a legal entity for a definite purpose according to the law. Joint activities can be realized by the
amalgamation of parties’ contributions or without it.
This treaty construction allows avoiding some legalization procedures, and directing the interests of public and
private partners in a single way.
The Law of Ukraine «On public-private partnership in Ukraine» determines contracts of joint activities as one
of the forms of public-private partnership. But the law makes no provision for special procedure of conclusion,
alteration and termination of contracts, where one of the parties is the government enterprise.
A progressive step was made by adoption of the Law of Ukraine «On alteration of various legislative acts relative
to joint activities» of 12.05.2011. This Law introduced some amendments and additions to the legal regime of state
property, which has a status of contribution to joint ventures. Particularly, it was established, that joint estate of public
and private partners does not assume the status of joint ownership. Government enterprises reserved all property
rights. But the new version of the aforesaid Law of 8.07.2011 canceled all these interpretations. Such indeterminacy
hardly facilitates mobilization of investment.
Nowadays contracts on joint activities are spread in the spheres of traditional government responsibility. These
are: search, exploration of mineral resources and it’s mining; construction and / or operation of highways, roads,

railways, runways at airfields, bridges, sea and river ports and their infrastructure; engineering; health care, tourism,
recreation; Culture and Sports, property management etc. But contradictions in legislation brake spreading of
concerned treaties.
With the view of developing of the proper institutional basis some practical proposals have been made. First of
all, the single governmental politics in the sphere of joint activities should be elaborated. In author’s opinion, profile
law in this sphere must also be passed.
